Terms and Conditions Statement: Writer Lock

  1. A. ENTIRE AGREEMENT. 
    Welcome to Writer Lock, a brand reachable through the website www.writerlock.com. This legal document constitutes an agreement (the “Agreement”) between us, Writer Lock, and any user/Client of the website, including its provided services (collectively the “Services”). We invite the user to read, understand and agree the terms enlisted in our Privacy Policy before visiting the website or using our provided services.

This Agreement supersedes all prior agreement or legal documents stipulated between the parties, we and the user. 

  1. B. SERVICES. 
    Writer Lock provides a specific service through the website useful to limit substantially all potential theft or unauthorised use of creative material that takes place every day via the Internet. In this sense, we specify here that Writer Lock provides opportunity for users to control their creative works and who they share with and keep accurate log of who and when one listens to their creative works. 

Writer Lock does not act as a "middle man" for negotiations on the sale of potential creative user works. Such negotiations must therefore necessarily take place outside our service and websiteMessages should be outside our website.

  1. C. ACCEPTANCE BY THE USER AND USER CONDUCT. 
    Using our services, the user expressly accepts the following clauses:

- We cannot guarantee that any creative work submitted by the user will be used or bought for professional use, under any circumstances possible.

- We cannot guarantee the complete safety of the works and that they will be not stoled by someone.

- The user is required to diligently provide the information requested. We also require that such information is accurate, user-owned, up to date, truthful and does not infringe upon the potential trademarks or copyrights of any third party, for which reason you have no right of use.

- All creative works belong to the creator and the user. Writer Lock has no right to exercise possession over these contents.

- Writer Lock is not responsible for any lost or stolen passwords or usernames. In this respect, users are solely and exclusively responsible for the security of their access data.

  1. D. FEES, INVOICING AND PAYMENT.

Writer Lock receives no commission for the sale or purchase of works. Writer Locker is also not a middle-man of these negotiations. The use of our services requires, according to the package selected by the user, the payment of an annual fee which - unless cancelled by the user - is renewed annually at the end of each period. Currently, Writer Lock accepts payments through PayPal (PayPal.com) and therefore financial and payment information is not retained by Writer Lock.

Regardless of the package you select, we do not provide any type of refund. In any case, as already specified, the user has the right to cancel the renewal for the next period. This right must be exercised before the end of the period, thus allowing the service to be used up to the end of the period. By requesting the deletion, the user expressly understands that all his data (including uploaded content) will be permanently deleted, with no possibility of future recovery.

We reserve the right to change prices from time to time without prior written or oral notice.

  1. E. CONFIDENTIALITY.

All creative content that the user sends us will be treated and examined in the strictest confidence. In particular, this content will not be provided to third parties under any possible circumstances.

  1. F. INDEMNIFICATION.
    Client agrees to not indemnify us from any damage, liability or cost (including reasonable attorney’s fees and costs of defense) to the extent caused by Client’s negligent acts, errors or omissions and those of its contractors, subcontractors or anyone for whom the Client is legally liable and arising from the project that is the subject of this Agreement.
  1. G. LIMITATION OF LIABILITY.
    NEITHER PARTY WILL BE LIABLE UNDER THIS AGREEMENT FOR ANY INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, ANY LOSS OF INCOME, PROFITS OR DATA OR DIMINUTION OF VALUE, EVEN IF THE OTHER PARTY HAS BEEN ADVISED OF, OR HAD REASON TO KNOW OF, THE POSSIBILITY OF SUCH DAMAGES. CLIENT AND PARTNER AGREE THAT PARTNER’S AGGREGATE LIABILITY TO THE CLIENT.
  2. H. WARRANTY. 
    As mentioned above, we make no representations about potential theft or unintended use of the creative content you provide us with under any circumstances possible. In particular, we are not responsible for potential theft attempts, hacking or computer penetrations. We make our best efforts to protect your content and our site, but the nature of the Internet does not allow 100% security. Additionally, we make no warranty regarding the 100% timing access of the website. We reserve the full right to suspend or terminate the website anytime, without any written notice. Finally, we make no warranty inherently to potential loss of data given by Acts of God, wars, riots or similar events.
  3. J. TERMINATION. 
    In the event of omission or negligence in compliance with this legal agreement, we reserve the full right to terminate your account without any written or oral notice.
  4. K. DISPUTES AND ARBITRATION.
    This Agreement shall be governed by, subject to, and construed in accordance with the laws of the United States of America. Any controversy, claim or action arising out of, or related to, this Agreement, the breach thereof, or the coverage of this arbitration provision shall be settled by mediation which shall be conducted in the USA in accordance with the Commercial Arbitration rules of the American Arbitration Association as such rules shall be in effect on the date of delivery of demand for arbitration. 
  5. L. MISCELLANEOUS.
    Any correspondence or conversation between us and you must be made exclusively by email. 

All stages of maintenance of the site and the technologies that allow it to function properly are carried out by third parties. We are not responsible for any damage caused by them during the maintenance phases.
